Mindery Terms of Service
These Terms of Service ("Terms") govern your use of the Mindery application ("the App") and any related services provided by Mindery ("we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the App.
Use of the App
Eligibility: You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are 18 years of age or older.
Account Registration: In order to use certain features of the App, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You must immediately notify us of any unauthorized use of your account.
Service Description: The App is designed to send text message reminders for recurring charges and other alerts you configure in the App. While we strive to provide accurate and timely reminders, we cannot guarantee the delivery or receipt of any reminder. You acknowledge that the App relies on third-party services for message delivery and (although we will work hard with our services providers to maintain services levels to our high standards) we cannot be responsible for any delays, failures, or inaccuracies in the reminder notifications.
User Obligations
Acceptable Use: You agree to use the App in compliance with all applicable laws, regulations, and these Terms. You shall not use the App to engage in any unlawful, harmful, or fraudulent activities, or to transmit any content that is offensive, obscene, or infringes upon the rights of others.
Privacy: Our privacy practices are described in our Privacy Policy. By using the App, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.
Intellectual Property
Ownership: The App and all intellectual property rights related to it are owned by Mindery. You acknowledge that the App contains proprietary and confidential information protected by intellectual property laws.
License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.
Limitation of Liability
Disclaimer: THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE APP, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
Termination
Termination by Us: We reserve the right to suspend or terminate your access to the App at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
Termination by You: You may terminate your use of the App at any time by ceasing all further use of the App. If you have a paid subscription, you may cancel that by following the Cancellation Policy detailed below.
Cancellation Policy: You can cancel your Mindery subscription by sending an email to team@minderyapp.com. If you cancel your Mindery subscription on or before your renewal date, your subscription will end on your renewal date.
If you forget to cancel until after your renewal date, let us know via email or Discord message, and we will work with you to process the cancellation as of the date you intended to cancel--within reason. Determining the bounds of "reason" will be at the sole discretion of Mindery.
Miscellaneous
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the state of Washington, without regard to its conflict of law provisions.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
Entire Agreement: These Terms constitute the entire agreement between you and Mindery regarding the use of the App and supersede any prior agreements or understandings.
